These Terms of Use ("Terms") govern your access to and use of the websites maximumimpactlb.com and cliffwilt.com (together, the "Sites") and the related products, programs, assessments, bookings, and services (the "Services") offered by Maximum Impact LB LLC ("Maximum Impact," "we," "us," or "our"). Please read them carefully.

1. Acceptence of Terms

By accessing or using the Sites or Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Sites or Services.

2. Who we are

Cliffwilt.com is the personal brand of Cliff Wilt, operated by Maximum Impact LB LLC which provides leadership development, speaking, coaching, team training, assessments, youth programming, and related digital content and events. The Sites and Services are operated by Maximum Impact LB LLC.

3. Eligibility, Age & Parental Consent

Our online assessments and general content are intended for individuals age 14 and older. If you are between 14 and 17, you may use the Sites and take our assessments only with the permission and involvement of a parent or guardian, and by doing so you confirm you have that permission.

Our Sites are not directed to children under 13, and children under 13 should not use the Sites or submit any information through them. Participation by children under 14 in our youth programs is arranged and consented to by a parent, guardian, teacher, or authorized program leader — not directly by the child. See the "Children's Privacy" section of our Privacy Policy for details.

To purchase products or services, book paid sessions, or enter into any paid agreement, you must be at least 18 years old, or have a parent or guardian do so on your behalf. A parent or guardian who permits a minor to use the Services agrees to these Terms on the minor's behalf and is responsible for the minor's use.

4. Assessments & Quizzes Disclaimer

Our quizzes and assessments are provided for personal and professional development and general informational purposes only. Results are not professional, medical, psychological, financial, or legal advice, and should not be relied on as a diagnosis or as the sole basis for any decision. You are responsible for how you use the results.

5. Purchases, Payments & Refunds

Prices, program details, and availability are described at the point of purchase and may change at any time. Payment is due as presented at checkout and is processed by a third-party payment processor; by completing a purchase, you authorize the charge.

Because we offer different types of products and services, refunds and cancellations work as described below. If a specific order page, program agreement, or event listing states different terms, those specific terms control. Except where a right cannot be waived under applicable law, the following applies:

• Digital products, downloads & online assessments. Due to their nature, these are non-refundable once access has been delivered or the content has been opened or downloaded.

• One-on-one coaching. Coaching packages are non-refundable once the first session has taken place. Before the first session, you may request a refund of unused amounts, less any non-recoverable third-party costs. Prepaid sessions expire [12 months] after purchase.

• Group programs & courses. You may request a full refund within [7 days] of purchase, provided the program has not yet started and no more than the first module has been accessed. After that, fees are non-refundable.

• Events & tickets (including live events). Tickets may be refunded up to [7 days] before the event date. Within [7 days] of the event, tickets are non-refundable but may be transferred to another attendee or applied to a future event.

• Speaking & team-training engagements. These are booked under a separate written agreement, and its deposit, cancellation, and refund terms control.

• Missed appointments & no-shows. Sessions or appointments missed without at least [24 hours]' notice may be forfeited or charged in full.

To request a refund or cancellation, contact us at [email protected] with your name, order details, and the reason for your request. Approved refunds are issued to the original payment method. We may grant exceptions at our discretion, and doing so once does not obligate us to do so again.

6. Bookings, Sessions & Cancellations

When you schedule a call, session, or event, you agree to the scheduling and cancellation terms presented at booking, including any notice required to reschedule or cancel. Missed appointments without notice may be forfeited or charged as described at booking.

7. Intellectual Property

All content on the Sites — including text, graphics, logos, assessments, course materials, videos, and downloads — is owned by or licensed to Maximum Impact LB LLC and is protected by intellectual-property laws. You may view and use it for your personal, non-commercial use. You may not copy, reproduce, republish, sell, or distribute our content without our prior written permission.

Third-party names, marks, methodologies, and certifications referenced on the Sites (for example, DISC, Purpose Discovery, Maxwell Leadership) are the property of their respective owners and are used only to describe our services.

8. Acceptable Use

You agree not to use the Sites or Services to: violate any law; infringe anyone's rights; upload harmful code; attempt to gain unauthorized access to our systems; scrape or harvest data; or interfere with the operation or security of the Sites. We may suspend or terminate access for any misuse.

9. User Submissions

Our Sites and Services are operated from the United States. If you access them from outside the U.S., including from the EEA, UK, or Switzerland, your information will be transferred to and processed in the United States, where data-protection laws may differ from those in your country. Where required, we rely on appropriate safeguards (such as the European Commission's Standard Contractual Clauses) for these transfers. By using the Sites, you understand your information will be processed in the U.S.

10. Third-Party Links & Services

The Sites may link to or rely on third-party websites and tools we do not control. We are not responsible for their content, products, or practices, and your use of them is at your own risk and subject to their terms.

11. Disclaimers

The Sites and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Sites will be uninterrupted, error-free, or secure, or that any particular result or outcome will be achieved.

12. Limitation of Liability

To the fullest extent permitted by law, Maximum Impact LB LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Sites or Services. Our total liability for any claim will not exceed the amount you paid us for the specific Service giving rise to the claim.

13. Idemnification

You agree to indemnify and hold harmless Maximum Impact LB LLC from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of the Sites or Services or your violation of these Terms.

14. Governing Law

These terms are governed by the laws of the State of Florida, United States.

15. Changes to These terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date above. Your continued use of the Sites after changes take effect means you accept the updated Terms.
